1. Who we are and when these Terms apply

RocketWorks is owned and operated by Softwarebox Solutions Ltd, a company registered in England and Wales under company number 12205095 (“Softwarebox”, “RocketWorks”, “we”, “us” or “our”).

These Terms apply when you create an account, accept them through an account or connection screen, or otherwise use RocketWorks. Our Privacy Policy explains how we handle personal information. If you do not agree to these Terms, do not create an account or use the service.

2. Business use, eligibility and authority

You may use RocketWorks only for a genuine business, trade, craft or professional activity. You must be at least 18 years old and legally able to enter into a binding agreement.

If you act for an organisation, you confirm that you are authorised to bind that organisation. References to “you”, “your”, “Member” or “Account” include that organisation and its authorised users where the context permits.

RocketWorks is not intended for personal, household or consumer use. You must provide accurate account information and keep it current.

3. Accounts, workspaces and staff

Each RocketWorks workspace belongs to the business or organisation identified as the Account. An Account owner may permit staff or other authorised people to use the workspace. The Account owner is responsible for deciding who receives access, assigning appropriate roles and removing access when it is no longer required.

You are responsible for activity carried out through your Account, except to the extent caused by our breach of these Terms. Keep passwords and sign-in methods secure, do not share individual credentials and tell us promptly if you suspect unauthorised access.

Browser-supplied Account identifiers do not establish authority. RocketWorks uses the authenticated workspace and server-side access controls to determine which records a user may access.

4. What RocketWorks provides

RocketWorks is production and packing software designed to help makers turn marketplace orders into repeatable workshop work. Depending on the features available to your Account, the service may help you:

• maintain Products, Variations, images, making steps, packing checks and Supplies;
• import supported marketplace order files and match items to remembered Products or Variations;
• organise making tasks, timers and production batches;
• track every physical unit through Production and Packing;
• identify compatible Orders that may be grouped into one parcel;
• record postage and mark a RocketWorks parcel as dispatched; and
• view operational summaries, connection status and plan usage.

Features vary by plan, account state and release stage. We may add, alter or withdraw features in accordance with section 18.

5. Important operational boundaries

RocketWorks assists your workflow; it does not replace your own judgement or the authoritative records held by a marketplace, courier, payment provider, tax system or accounting system.

• You must check that imported Orders, quantities, addresses, Products, Variations, making steps and packing requirements are correct.
• Suggested parcel grouping is an operational aid. You decide whether Orders can legally and safely travel together and whether combining them is permitted by the relevant marketplace and carrier.
• Recording postage in RocketWorks does not itself purchase a label or contract with a carrier.
• Marking a parcel as dispatched in RocketWorks does not update eBay, Etsy, Shopify or another platform unless RocketWorks expressly states that a live update has succeeded.
• Timers, estimated durations, status calculations and automatic matching are aids rather than guarantees.

You remain responsible for fulfilling customer Orders, complying with delivery promises, buying appropriate postage, checking customs or carrier requirements and maintaining any records your business must keep.

6. Your Products, templates and other content

You retain ownership of the original business information and content you add to RocketWorks, including Product names, Variations, images, instructions, making templates, packing templates, Supply records, notes and purchase links (“Workspace Data”).

You grant Softwarebox a non-exclusive, worldwide, royalty-free licence to host, copy, process, display, back up and otherwise use Workspace Data only as reasonably necessary to provide, secure, support and improve RocketWorks, comply with law and exercise our rights under these Terms. This licence ends when the relevant data is deleted, except for protected backups, legal records and material that has been lawfully anonymised.

You confirm that you have the rights and permissions needed to add Workspace Data and that it does not infringe intellectual property, privacy, confidentiality or other rights. Do not upload unlawful, harmful or unnecessarily sensitive information.

7. Order files, marketplace data and customer information

You may upload order files or, where a connection is available, authorise RocketWorks to retrieve data from a selling platform. You confirm that you are entitled to use that Account, upload the file and instruct us to process the information for fulfilment and workshop operations.

Marketplace exports and APIs may contain errors, omissions, delayed updates or fields whose meaning changes. RocketWorks may validate and reject unsupported or unsafe input, but you remain responsible for comparing important information against the source platform.

You must not upload marketplace passwords, payment-card data or information that RocketWorks has not asked for. Connection tokens are handled separately from Member passwords and may be revoked by you or the relevant platform.

8. Third-party platforms generally

eBay, Etsy, Shopify, couriers, payment services and other connected services are independent third parties. They do not own, operate or provide RocketWorks, and Softwarebox does not control their services, APIs, rules, data quality or availability.

Your use of a third-party platform remains subject to your agreement with that platform. You must comply with its applicable user, seller and developer-facing rules. If a third party changes, restricts or withdraws access, we may modify, pause or remove the affected RocketWorks feature without liability for the third party’s decision.

References to eBay, Etsy and Shopify describe compatibility or the source of Member-authorised data. Their names and trademarks belong to their respective owners. Unless expressly stated by the relevant platform, RocketWorks is not affiliated with, endorsed by or certified by them.

9. Etsy

Where you connect Etsy through an approved API feature, you authorise RocketWorks to access the minimum Etsy shop, listing, Order and fulfilment information needed to provide the described service. You remain responsible for your Etsy Account and compliance with Etsy’s rules.

RocketWorks is solely provided by Softwarebox Solutions Ltd. Etsy, Inc. and its affiliates do not develop, supply or provide RocketWorks, do not provide support for it and make no warranties concerning RocketWorks or data accessed through it.

Where the Etsy API is used, the following notice applies:

Your Etsy connection and Etsy-sourced data will also be subject to the applicable Etsy API Terms. Nothing in these Terms creates an obligation on Etsy to you. If Etsy suspends or ends our API access, the connected feature may stop immediately.

10. eBay

Where you connect eBay, you authorise RocketWorks through eBay’s controlled sign-in and consent process. You may revoke that authorisation. Do not give RocketWorks your eBay password.

To the extent RocketWorks permits you to view or use eBay Content under a permitted sublicense, you agree to comply with the applicable parts of the eBay Developers Program API License Agreement and eBay policies. eBay is an intended third-party beneficiary of those permitted sublicense provisions and may enforce them where the eBay agreement allows.

You must use eBay-sourced information only for your authorised eBay business and the RocketWorks operational purposes described here. You must not scrape, resell, publish, profile, train artificial-intelligence systems with, or otherwise exploit eBay Content unless eBay has expressly permitted that use.

eBay does not provide or endorse RocketWorks and is not responsible for its operation, support or availability. eBay may revoke credentials, change APIs, impose limits or require deletion or restriction of eBay Content.

11. Shopify

Where you install or authorise a Shopify connection, you confirm that you own or are authorised to act for the relevant Shopify merchant. You authorise RocketWorks to access only the Merchant Data required for the features shown during connection.

Softwarebox Solutions Ltd is solely responsible for RocketWorks. Shopify is not responsible for faults, harm, installation, use or support of RocketWorks and, unless Shopify expressly states otherwise, Shopify cannot assist you with RocketWorks.

Shopify-sourced Merchant Data will be used only to provide the authorised RocketWorks service and as described in our Privacy Policy. Where required by the Shopify API Terms, Shopify-sourced Merchant Data will be deleted within 30 days after you uninstall the Application, when it is no longer needed, or after an enforceable deletion request, subject to any limited legal requirement that permits or requires continued retention.

Disconnecting or uninstalling Shopify may therefore result in Shopify-sourced customer and Order information being removed earlier than other RocketWorks operational records. You are responsible for retaining any records your business is legally required to keep before uninstalling.

Shopify’s name and marks belong to Shopify. Any permitted use indicates compatibility only and does not imply that Shopify developed, endorses or guarantees RocketWorks.

12. Plans, usage limits and storage

Your plan may limit Products, Variations, staff users, connected stores, monthly Orders, storage or other resources. Current limits will be shown when you choose a plan or in your Account. You must not circumvent or attempt to evade a plan limit.

We may prevent new records, connections or uploads when a hard limit is reached. A monthly Order allowance may be operated as a reasonable-use or soft policy unless we tell you otherwise. Internal API budgets and platform rate limits are operational safeguards and are not customer entitlements.

Images and files may count against storage when capacity is reserved, while processing is pending or while a file remains stored. Deactivating a catalogue record does not necessarily delete its associated files.

13. Trials, subscriptions, fees and tax

Where we offer a free trial, founding-access period or paid subscription, the duration, price, billing frequency and included limits will be shown before you commit. Founding access does not guarantee a particular future price, feature or plan unless we state otherwise in writing.

Paid subscriptions may renew automatically for the billing period shown until cancelled. Unless the checkout or applicable law says otherwise, cancellation takes effect at the end of the paid period and Fees already charged are non-refundable. We will give reasonable notice of material price changes before they affect a renewal.

Prices will state whether VAT is included. You are responsible for taxes, duties and charges applicable to your business except taxes based on our own income.

14. Acceptable use

You must not use RocketWorks to:

• break the law, another person’s rights or a marketplace’s applicable rules;
• process Orders or Products that you are not authorised to access;
• upload malware, harmful code or content intended to disrupt the service;
• probe, bypass or interfere with security, tenancy controls, rate limits or plan limits;
• reverse engineer, decompile, copy or create a competing service from protected parts of RocketWorks, except where law does not allow that restriction;
• share Account access with unauthorised people or impersonate another person or business;
• scrape, resell, disclose or train models using marketplace data where that use is prohibited;
• send spam or use imported customer data for marketing unrelated to fulfilment; or
• upload special-category, payment-card or other unusually sensitive personal data unless we have expressly agreed that the service supports it.

We may investigate suspected misuse and take proportionate protective action.

15. Customer data and data-processing terms

For personal information that we use for our own Account, security, billing or service-management purposes, Softwarebox is normally the controller. Where RocketWorks processes a Member’s marketplace-customer information solely to provide the Member’s production, packing, parcel and dispatch workflow, the Member is normally the controller and Softwarebox acts as processor.

The subject matter of that processing is the Member’s use of RocketWorks. It may cover Members, authorised staff, buyers and delivery recipients; Account identifiers, contact details, marketplace usernames, Order and listing references, Products, quantities, delivery addresses, fulfilment status, notes and related operational records. Processing lasts while needed to provide the service and for the retention periods described in the Privacy Policy, these Terms and applicable platform requirements.

When acting as processor, Softwarebox will:

• process personal information only on the Member’s documented instructions, including these Terms and the actions taken through RocketWorks, unless law requires otherwise;
• ensure authorised personnel are subject to confidentiality obligations;
• use appropriate technical and organisational security measures;
• use service providers only under suitable data-protection obligations and remain responsible for their processing;
• assist the Member reasonably with individual-rights requests, security obligations and breach assessments, taking account of the nature of the processing;
• notify the Member without undue delay after becoming aware of a personal-data breach affecting the Member’s customer data;
• delete or return personal data at the end of the service where required, subject to law, protected backup rotation and platform-specific requirements; and
• make information reasonably necessary to demonstrate these obligations available to the Member.

The Member instructs and generally authorises Softwarebox to use hosting, database, storage, backup, email and support providers needed to operate RocketWorks. We will remain responsible for their contracted processing and use appropriate safeguards for restricted international transfers.

The Member is responsible for providing lawful instructions, having an appropriate lawful basis, giving required notices to customers, responding as controller to customer rights and ensuring that information placed into RocketWorks is relevant and not excessive.

16. RocketWorks intellectual property and feedback

Softwarebox and its licensors own RocketWorks, including its software, interface, branding, documentation, databases, workflow design and all related intellectual-property rights, excluding Workspace Data and third-party platform property.

We grant you a limited, non-exclusive, non-transferable and revocable right to use RocketWorks for your internal business operations during your authorised access. You may not sell, sublicense or make the service available to another business except through authorised staff or features we provide.

If you give us feedback or suggestions, you allow us to use them without restriction or payment. This does not transfer ownership of your confidential Workspace Data or your original Products and designs.

17. Access to and export of Workspace Data

RocketWorks does not currently provide a general self-service or contractual export facility for Workspace Data. In particular, we do not promise an export of Product or Variation records, making templates, packing templates, Supply configurations, internal relationships, images or other workspace setup.

Those records are structured to operate inside RocketWorks and may not be meaningful, complete or compatible in another system. You are responsible for retaining separate copies of source images, instructions, files, marketplace exports and other information that your business may need independently of RocketWorks.

We may choose to provide a limited extract or migration aid, but doing so once does not create an ongoing obligation. Nothing in this section limits an individual’s statutory rights concerning their personal information. Where a valid right of access or data portability applies, we will provide the personal information required by law; that does not create a right to export the Account’s entire catalogue, operational configuration or non-personal business records.

18. Availability, maintenance and changes

We aim to provide a reliable service, but RocketWorks is supplied without a guaranteed service level unless we agree one separately in writing. The service may be unavailable because of maintenance, faults, security work, internet conditions, hosting providers or third-party platforms.

We may change RocketWorks to improve it, protect Members, comply with law or platform rules, control capacity, address security risks or retire features that are no longer sustainable. We will try to give reasonable notice where a material change is likely to significantly reduce a paid feature, unless urgent action is required.

Early-access, trial, beta and preview features may be incomplete, change substantially or be withdrawn. Do not rely on them as the sole record for critical business information.

19. Suspension and termination

You may stop using RocketWorks at any time and, when subscription controls are available, cancel through the method shown in your Account.

We may restrict or suspend access where reasonably necessary to investigate a security concern, prevent harm, comply with law or a platform requirement, enforce plan limits, address non-payment or respond to a material breach. Where practical, we will explain the reason and provide an opportunity to remedy it.

We may terminate an Account for a serious or repeated breach, unlawful use, prolonged non-payment or where continuing to provide the service would expose Softwarebox, another Member or a third party to material risk. A third-party integration may be suspended independently of the rest of the Account.

20. What happens when access ends

When access ends, your right to use RocketWorks stops. Workspace Data may be retained temporarily for Account closure, security, dispute resolution, backup rotation and legal compliance, then deleted or anonymised in accordance with our Privacy Policy and applicable marketplace requirements.

Termination does not create a general export right. Because section 17 applies, you should keep independent copies of information your business must retain. Shopify, eBay or Etsy rules may require particular platform-sourced data to be deleted sooner.

Terms which by their nature should continue—including ownership, confidentiality, accrued payment obligations, disclaimers, liability limits and governing law—survive termination.

21. Warranties and disclaimers

RocketWorks is provided on an “as available” basis. We will provide the service with reasonable care and skill, but we do not promise that it will be uninterrupted, error-free, compatible with every file or platform, or that every import, match, timer, grouping suggestion or status will be correct.

We do not warrant continued access to any marketplace API or third-party service. We do not provide legal, tax, accounting, customs, carrier or marketplace-compliance advice. You remain responsible for professional advice and final business decisions.

Nothing in these Terms excludes a warranty or remedy that cannot lawfully be excluded.

22. Liability

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be limited.

Subject to that, neither party will be liable for indirect or consequential loss. Softwarebox will not be liable for loss of profit, revenue, anticipated savings, goodwill, business opportunity or data arising from your failure to keep source records, except where such exclusion is not permitted by law.

Softwarebox is not liable for a marketplace, courier or other third party changing, delaying, rejecting, suspending or withdrawing its service, API, Account access or data, nor for an operational decision you make without carrying out the checks required by section 5.

Subject to the exclusions above, Softwarebox’s total aggregate liability arising from RocketWorks in any twelve-month period will not exceed the greater of £100 and the Fees you paid to Softwarebox for RocketWorks during the twelve months before the event giving rise to the claim.

23. Changes to these Terms

We may update these Terms when RocketWorks, our plans, the law or third-party platform requirements change. We will publish the updated date and, for a material change affecting existing paid Members, give reasonable notice through the service or by email.

If you continue using RocketWorks after the effective date, the updated Terms will apply. If you do not accept a material change, you must stop using the service and cancel before the change takes effect.

24. General legal terms

These Terms, the Privacy Policy and any plan or data-processing terms expressly incorporated into them form the agreement between you and Softwarebox concerning RocketWorks. They replace earlier discussions or statements about the same subject, but do not exclude liability for fraud.

You may not assign your agreement without our written consent. We may assign it as part of a genuine reorganisation, financing, sale or transfer of RocketWorks, provided this does not materially reduce your rights.

If a provision is unenforceable, it will be limited or removed only to the extent necessary and the remaining provisions will continue. A delay in enforcing a right is not a waiver.

Except for eBay’s rights under section 10 where its API agreement requires them, a person who is not a party to these Terms has no right to enforce them under the Contracts (Rights of Third Parties) Act 1999. Nothing creates a partnership, agency, employment or joint venture between you and Softwarebox or between Softwarebox and a marketplace.

Neither party is responsible for delay caused by events beyond its reasonable control, although this does not excuse payment obligations already due.

25. Governing law and disputes

These Terms and any non-contractual dispute relating to RocketWorks are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except where the law requires otherwise.
